Terms and Conditions of Sale

1. Introduction These Terms and Conditions ("Terms") govern the sale of industrial drone products and services ("Products") by Nantong Xunri Technology Co.,Ltd. (operating as FDIUAV, hereinafter "Seller", "we", or "us") to the purchaser ("Buyer" or "you").
By placing an order with FDIUAV, submitting a purchase order, or paying a deposit, you agree to be bound by these Terms. These Terms prevail over any clauses in the Buyer’s purchase order or general conditions of purchase.
2. Orders and Acceptance
2.1 Quotations: All quotations provided by the Seller are valid for [30] days unless otherwise stated.
2.2 Order Confirmation: A contract is formed only when the Seller issues a written Sales Confirmation or Proforma Invoice (PI).
2.3 Custom Orders: For customized drone solutions (e.g., specific payload integration), orders cannot be cancelled or modified once production has commenced.
3. Price and Payment
3.1 Currency: Unless otherwise agreed in writing, all prices are quoted in US Dollars (USD).
3.2 Payment Terms: Unless otherwise specified in the Sales Contract:
50% Deposit via T/T (Telegraphic Transfer) is required to initiate production.
50% Balance must be paid before shipment.
3.3 Taxes and Duties: Prices are exclusive of any sales tax, VAT, customs duties, or import fees levied by the destination country. The Buyer is solely responsible for all such charges.
4. Shipping and Delivery
4.1 Incoterms: Unless otherwise agreed, all shipments are made on an EXW (Ex Works) or FOB (Free on Board) basis from our facilities in Jiangsu, Guangdong, or Chongqing, China (depending on the specific product line and inventory), in accordance with Incoterms 2020. The specific pickup location will be confirmed in the Sales Contract.
4.2 Lead Time: Estimated delivery dates are provided for reference only. While we make every effort to ship on time, FDIUAV is not liable for delays caused by production bottlenecks, customs clearance, or carrier delays.
4.3 Risk of Loss: Risk of loss or damage to the Products passes to the Buyer upon delivery to the carrier (freight forwarder). We strongly recommend the Buyer purchase cargo insurance.
5. Compliance and Export Control
5.1 Export Regulations: The Buyer acknowledges that our Products (industrial UAVs) may be subject to export control laws of the People's Republic of China and the import laws of the destination country.
5.2 End-Use Certification: The Buyer certifies that the Products will NOT be used for:
Military combat or weapon delivery systems.
Terrorist activities.
Any illegal purposes under local or international law.
5.3 Local Aviation Laws: The Buyer is solely responsible for complying with all local aviation regulations (e.g., FAA, EASA, GACA) regarding drone registration, pilot licensing, and flight restrictions. FDIUAV is not responsible for fines or confiscation resulting from illegal flight operations.
6. Warranty and Returns
6.1 Limited Warranty: We provide a 1-Year Limited Warranty on the airframe and core components. Please refer to our separate [Warranty Policy] for full coverage details.
6.2 Returns: All B2B sales are final. Returns are only accepted for "Dead on Arrival" (DOA) products within [7] days of receipt. Please refer to our [Return & Refund Policy].
7. Limitation of Liability
7.1 Operator Error: FDIUAV shall not be liable for any damage, injury, or loss caused by pilot error, improper maintenance, unauthorized modifications, or flying in adverse weather conditions beyond the Product's specifications.
7.2 Consequential Damages: To the maximum extent permitted by law, FDIUAV shall not be liable for any indirect, special, incidental, or consequential damages (including loss of profits, loss of data, or business interruption) arising from the use of our Products.
7.3 Cap on Liability: Our total liability for any claim arising out of these Terms shall not exceed the total purchase price paid by the Buyer for the specific Product giving rise to the claim.
8. Intellectual Property All intellectual property rights regarding the Products, including designs, software, firmware, and trademarks (FDIUAV), remain the exclusive property of Nantong Xunri Technology Co.,Ltd. The Buyer shall not reverse engineer, decompile, or copy the Products.
9. Force Majeure FDIUAV shall not be liable for any failure to perform its obligations where such failure is a result of Acts of Nature (including fire, flood, earthquake), war, government sanctions, export bans, or supply chain interruptions beyond our reasonable control.
10. Governing Law and Dispute Resolution
10.1 Governing Law: These Terms shall be governed by the laws of the People's Republic of China.
10.2 Dispute Resolution: Any dispute arising from these Terms shall be settled through friendly negotiation. If negotiation fails, the dispute shall be submitted to the competent court in Nantong, Jiangsu Province, China.
